These terms are an agreement between [LEGAL ENTITY NAME], a [ENTITY TYPE] formed in [STATE OF FORMATION] ("URAKIMON", "we") and the business that uses URAKIMON ("you"). Creating an account, or using an API key, means you accept them, together with the acceptable use rules, which form part of them. The privacy notice explains what the account stores.

1. Business use only

URAKIMON is for businesses. You may use it only for a business, or for your own trade or profession, and not as a consumer; creating an account needs you to confirm that. If you accept these terms for a company, you confirm that you may bind it. You are responsible for everyone who uses your account or its keys.

If you use URAKIMON through a third-party marketplace that lists it, these terms and the acceptable use rules apply to that use too, and running it there means you accept them. The marketplace charges you at the prices it lists, under its own terms, so What you pay and Refunds and disputes do not apply to those runs.

2. The service

URAKIMON returns records from the public pages of the sources listed on the sources page, as JSON, through an API you call with a key. A record is read when you send the request, and each one says when in collectedAt. URAKIMON reads only pages that the source shows to anyone without signing in.

URAKIMON is not affiliated with, endorsed by or sponsored by any of the sources it names. Their names are trademarks of their owners and appear here only to say where data comes from.

We may change the service, add or remove sources and fields, and change the limits in the acceptable use rules. When a change would materially reduce what the service does, we post it in advance as Changes describes, except where Sources and third parties lets us act at once.

3. Your account and keys

  • An account needs an email address you confirm. You sign in with that address and a password, and a sign-in lasts 24 hours.
  • An account holds up to 5 active keys. A key's secret is shown once, when it is created. Keep it secret: anyone who has it can spend your credit. You can rotate or revoke a key on your account page at any time.
  • A key sent in a URL's query string is refused. Send it in the x-api-key header.
  • Tell us at [LEGAL EMAIL] straight away if you think a key or your password has been exposed or misused.

4. What you pay

  • You pay for each record delivered to you, at the price of the event it carries. The prices are on the pricing page and on each source's page. A price change applies to requests sent after it is published, never to credit already spent.
  • A record the source answers "not found" for is billed like a found one. A record with an error field is never billed, and a request that delivers nothing costs nothing.
  • Records are paid from prepaid credit. Each delivered record draws on your account's credit. At zero, a running job delivers what the balance still covers and stops, and a new request is refused with 402. Records are never invoiced, and you never owe for records beyond the credit you hold.
  • Credit you buy expires 365 days after it is added. The balance is capped at $5,000.00, and a purchase that would pass the cap is refused.
  • Credit is a prepayment for records, not money. It cannot be transferred to another account or exchanged for cash, except as a refund under these terms.
  • Purchases go through Stripe Checkout, and plan fees through Stripe subscriptions. Prices are in US dollars. Any sales tax, VAT or similar tax that applies is yours to pay, apart from taxes on our income.

A new account can get trial credit once its email address is confirmed. Who gets the trial lists the conditions. Trial credit expires 30 days after it is granted. It has no cash value and is never refunded.

Plans

Plans are optional. A plan is a subscription through Stripe: its monthly fee is charged in advance at the start of each month until you cancel it, and a plan invoice that is not paid is owed. When a month's plan invoice is paid, the credit that month includes is added to your balance and expires 31 days later, and while the plan is active records are billed at the plan's lower rate. You can change or cancel a plan in the billing portal on your account page. The plans list each fee, the credit included and the rate.

5. Refunds and disputes

To ask for a refund of a purchase or a plan fee, email [LEGAL EMAIL] from your account's address within [REFUND REQUEST WINDOW IN DAYS] days of the payment. A refund, or a card dispute decided in your favour, takes back only the unused part of the credit the payment added. Credit already spent on delivered records is not taken back. If you think a charge is wrong, please write to us before disputing it with your card issuer. While a payment dispute is open, the account is held: no key fetches records until the dispute closes.

6. Records and your responsibilities

Records can contain information about people, because the public pages they come from do. People in records explains how URAKIMON handles that information. Once records reach you:

  • you decide what you use them for, and you are a separate controller (or the equivalent under the law that applies to you) for that use. URAKIMON does not process records on your behalf;
  • you must have a lawful basis for your use under the data protection laws that apply to you, give any notice those laws require, and answer requests from the people concerned;
  • you must follow the personal data rules in the acceptable use rules, including acting on objections and removal requests that people send you;
  • you must keep records secure and keep them only as long as your purpose needs;
  • you must not use records in a way that breaks terms you yourself have accepted with a source, for example as a signed-in user of it.

7. What you may not do

Except as these terms allow, you will not, and will not let anyone else:

  • resell, sublicense or share access to the service or your keys, or let another business use your account;
  • sell, license, share or publish personal information from records as a dataset, a list or in bulk;
  • reverse engineer the service, get around its limits, or test its security without our written permission;
  • interfere with the service or degrade it for others;
  • use the service for activities where its failure could lead to death, injury or environmental damage;
  • use it if you are subject to sanctions, or from or for a country under a trade embargo, or in breach of export control laws;
  • use it in breach of the acceptable use rules or the law.

8. Source content and intellectual property

  • We grant you a non-exclusive, non-transferable right to use the records you receive for your business purposes, subject to these terms.
  • The content of records (text, reviews, photos, listings) belongs to the source, the people who wrote it, or others. URAKIMON grants you no licence to content owned by others. You are responsible for having the rights you need for what you do with it.
  • We keep all rights in the service itself: the API, its record formats, the website and the documentation. You may use them only to use the service.
  • You keep the rights in what you send us. We use your requests only to run the service.
  • If you send us suggestions, we may use them freely. We may use information about how people use the service to run and improve it, and share it only in totals that do not identify you.
  • For copyright complaints, see Copyright.

9. Sources and third parties

Sources control their own pages. A source can change or restrict its pages at any time, and records then change or stop. We may stop offering a source or a field at any time, without the advance notice in Changes, when a source, a rights holder, a person in records or an authority asks us to, or the law requires it. We do not promise that reading a source's public pages is allowed by that source's own terms; you use records knowing that.

10. Suspension

URAKIMON can suspend an account, with or without notice, if you break these terms or the acceptable use rules, if a payment is disputed or reversed, if the account's use threatens the service, its security or others, or if the law or a lawful request from an authority requires it. We will try to tell you first when that is practical, and resume the account once the cause is resolved. A suspended account's keys stop working, its running jobs are cancelled, and it cannot create or rotate keys until it is resumed.

11. Ending the agreement

You can delete your account from your account page. Deleting it revokes every key, cancels running jobs, cancels a plan if you have one and forfeits the credit left in the balance. It is refused while a payment dispute is open or a plan invoice is unpaid, because that invoice is owed. The privacy notice says what is kept afterwards.

We may end the agreement if you materially break it and do not fix the breach within 30 days of our notice, or at once if the breach cannot be fixed or is a serious breach of the acceptable use rules. If we end the agreement for any other reason, or stop the service, we refund the unused part of credit you bought. The sections on payment, responsibilities for records, records sent outside Europe, intellectual property, warranties, liability, indemnity and governing law continue after the agreement ends.

12. Confidentiality

Each of us will use the other's non-public information only for this agreement, and protect it at least as carefully as its own. That includes your keys and requests, and our non-public information about the service. This does not cover information that is public, was already known, was received lawfully from someone else, or was developed independently. Either of us may disclose it where the law requires, after telling the other where the law allows.

13. Warranties and disclaimers

Each of us confirms that it may enter into this agreement, and will follow the law that applies to it in providing or using the service. You confirm that you have the rights needed for what you send us.

Records show what a source's page showed at the time in collectedAt. Sources can be wrong, incomplete or out of date, and so can records. Apart from the promises in these terms, the service and records are provided "as is": each of us disclaims all other warranties and conditions, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement, and we do not promise that the service will be uninterrupted or error-free. These disclaimers apply as far as the law allows.

14. Limitation of liability

Each party's total liability for all claims arising out of or relating to this agreement is limited to the greater of the amount you paid URAKIMON in the 12 months before the event that gave rise to the first claim and US$100. Neither party is liable for lost profits or revenue, or for indirect, consequential, special, exemplary, punitive or incidental damages, even if told they were possible. These limits apply whatever the legal theory: contract, tort (including negligence), breach of statutory duty or otherwise.

The limits do not apply to fees you owe and have not paid, to either party's indemnity obligations below, to either party's liability for processing personal data unlawfully, or to liability the law does not allow to be limited.

15. Indemnity

  • We will defend you against any claim by a third party that the service itself (the API, its software and documentation, not the content of records) infringes their intellectual property rights, and pay the damages, settlements and reasonable legal costs that result. This does not cover claims caused by your breach of these terms or by your combining the service with something we did not provide. If such a claim arises, we may get you the right to keep using the service, change it, or end the agreement and refund the unused part of credit you bought.
  • You will defend URAKIMON against any claim by a third party (including a person in a record, a source, a rights holder or an authority, as far as the law allows) arising from your use of records or your breach of these terms or the acceptable use rules, and pay the damages, settlements, fines and reasonable legal costs that result.
  • The party claiming protection must tell the other promptly, give reasonable help at the other's cost, and let the other control the defence and settlement. No settlement may admit fault for the protected party, or bind it materially, without its written consent.

16. Records sent outside Europe

When records that contain personal data of people in the European Economic Area, the United Kingdom or Switzerland reach you in a country without an adequacy decision for that data, this section applies to that transfer:

  • The Standard Contractual Clauses adopted by the European Commission in Implementing Decision (EU) 2021/914, Module One (controller to controller), are incorporated into these terms by reference, with URAKIMON as data exporter and you as data importer. The optional Clause 7 does not apply. Under Clause 13, the competent supervisory authority is the one of the EU member state in which URAKIMON's EU representative is established. Under Clauses 17 and 18, the clauses are governed by the law of Ireland, and disputes about them go to the courts of Ireland.
  • For data about people in the United Kingdom, the International Data Transfer Addendum to those clauses issued by the UK Information Commissioner (version B1.0) also applies, with the details in this section as its tables; either party may end it as its Part 2 allows. For data about people in Switzerland, references to the GDPR include the Swiss Federal Act on Data Protection, and the Swiss Federal Data Protection and Information Commissioner is a competent authority.
  • Annex I: the parties are URAKIMON and you, with the contacts in these terms; the people concerned, the kinds of personal data, the source and the retention are as People in records describes; no special categories of data are meant to be transferred; a transfer happens with each delivery of records you ask for, for your business purposes under these terms. Annex II: you apply security suited to the data and follow the personal data rules.
  • If these terms and the clauses conflict, the clauses prevail. You can ask [PRIVACY EMAIL] for a copy of the clauses.

17. Changes to these terms

When this page changes, we post the new version here at least 30 days before it applies, and the effective date at the top changes with it. A change that the law, a court or an authority requires can apply sooner, from when we post it. If you do not accept a change, stop using the service and delete your account before it applies; if you ask us before then, we refund the unused part of credit you bought. Using the service after a change applies means you accept it.

18. Governing law and courts

These terms are governed by the laws of [GOVERNING LAW], without regard to its conflict of laws rules. Each of us submits to the exclusive jurisdiction of [COURTS WITH EXCLUSIVE JURISDICTION] for any dispute about them, except that either of us may ask any competent court for urgent relief to protect confidential information or intellectual property, and except as Records sent outside Europe provides. The UN Convention on Contracts for the International Sale of Goods does not apply.

19. General

  • These terms, with the acceptable use rules, are the whole agreement between us about the service. Terms in your purchase orders or supplier portals do not apply.
  • If a court finds part of these terms unenforceable, the rest still applies. Not enforcing a term is not a waiver of it.
  • Neither of us may transfer this agreement without the other's consent, except to a successor in a merger, reorganisation or sale of the business it relates to, with notice.
  • Neither of us is liable for delays or failures caused by events outside its reasonable control, such as natural disasters, war, or failures of public networks or utilities. This does not excuse payment.
  • We are independent contractors. Nothing here creates a partnership or agency, and no one else has rights under these terms, except as the clauses in Records sent outside Europe give to the people whose data is transferred.
  • Notices to URAKIMON go to [LEGAL EMAIL], and to you at your account's email address. An email notice is given when it is delivered.
